1. Acceptance of Terms
1.1. These Terms and Conditions ("Terms") govern your access to and use of the website, services, and applications (collectively, the "Service") operated by ConEdu Limited ("we," "us," "our," or "the Company").
1.2. By registering for an account, clicking "I Agree," or by merely accessing or using the Service, you (the "User" or "you") acknowledge that you have read, understood, and irrevocably agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
1.3. If you are using the Service on behalf of an organization (e.g., as a CPD Provider), you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "User" will include both you as an individual and the organization.
2. Definitions
"CPD" means Continuing Professional Development. For the purposes of these Terms, "CPD" is used as an inclusive term referring to all forms of continuing education, training, and professional development activities, including but not limited to Continuing Medical Education (CME), Continuing Nursing Education (CNE), Continuing Education in Midwifery (CEM), and other similar schemes.
"CPD Provider" means an organization or individual that creates, offers, and administers CPD activities through the Service.
"Compliance Documentation" means any document or file uploaded by a Professional User to the Service for the purpose of verifying their professional status or eligibility to practice, including but not limited to a current practising certificate, professional license, registration document, or other similar official credential.
"Compliance Monitor" means a third-party entity (such as the User's employer, a professional body, or a designated administrative agent) to whom the User may explicitly authorize the disclosure of their CPD records and/or Compliance Documentation, strictly for the purpose of verifying the User's compliance with continuing professional development or licensing requirements.
"Professional" means an individual user of the Service. This includes both currently registered professionals and individuals such as students, trainees, or candidates who are undertaking CPD activities for the purpose of career development, meeting future licensing requirements, or maintaining professional knowledge.
"User Content" means any data, information, or materials uploaded, submitted, or transmitted by a User through the Service, including CPD records and Compliance Documentation.
"User Account" means the unique account created by a User to access the Service.
3. The Service & Platform Role
3.1. Description: ConEdu Limited is a technology platform that facilitates the connection between Professionals and CPD Providers. Our services include, but are not limited to:
For CPD Providers: We provide tools to create, manage and promote CPD activities and obtain data for compliance reporting; conduct event polling; collect activity fees on behalf of the Provider; and issue digital certificates to participants upon the Provider's request and instruction.
For Professionals: We provide a centralized tool to discover, enroll in, and record CPD activities. This includes maintaining a personal record of completed activities and storing associated documents (e.g., e-certificates). The platform may also be used as a tool to log, track and conduct non-accredited professional development activities, such as self-study. Facilitating the secure sharing of your CPD records and compliance documentation with authorized third parties (e.g., your employer) upon your explicit request and consent.
3.2. Disclaimer of Accreditation Role:
We are an Intermediary, Not an Accreditor: We are a technology service provider and facilitator. We are not an educational institution, a CPD accrediting body, or a professional regulatory authority.
No Warranty on CPD Credit Acceptance: The accreditation, approval, and allocation of credit hours for any CPD activity are the sole responsibility of the individual CPD Provider and the relevant professional accreditation bodies (such as the Supplementary Medical Profession Council). We do not guarantee, warrant, or represent that any course or activity listed on our platform will be accepted for credit, points, or hours by any specific professional body, association, or employer.
User's Responsibility to Verify: It is the sole responsibility of the Professional User to verify with their respective professional licensing body or employer that a particular CPD activity meets their specific requirements before enrolling.
4. User Accounts, Registration, and Security
4.1. Eligibility: To use the Service, you must be at least 18 years of age and have the legal capacity to enter into a binding contract.
4.2. Account Accuracy: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate and complete.
4.3. Security and Password: You are solely responsible for safeguarding your password and for all activities that occur under your User Account. You must notify us immediately at info@conedu.com.hk of any unauthorized use of your account or any other breach of security.
4.4. Account Ownership: Your account is personal to you and may not be sold, transferred, or assigned to any third party.
5. Intellectual Property Rights
5.1. Our Proprietary Rights: The Service, including its "look and feel," source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics, and logos, and our trademarks, service marks, and logos ("Company IP") are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws of Hong Kong and international conventions. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Company IP for the sole purpose of using the Service as permitted by these Terms.
5.2. CPD Provider Content: All course materials, syllabi, presentations, and other educational content provided by CPD Providers remain the intellectual property of those providers or their licensors. Your access to such content is granted solely for your personal, non-commercial educational use in connection with the CPD activity.
5.3. User Content License: By uploading, submitting, or transmitting any User Content (including your CPD records), you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, modify, and communicate that content solely for the purpose of operating, providing, and improving the Service, and specifically to facilitate (i) your enrollment and participation in CPD activities, (ii) the maintenance of your personal CPD records, and (iii) the sharing of such data with CPD Providers and/or Compliance Monitors as expressly authorized by you through the Service.
6. User Responsibilities and Acceptable Use
6.1. Prohibited Activities. You agree not to, and will not assist, encourage, or enable others to:
(a) Use the Service for any illegal purpose or in violation of any local, national, or international law or regulation.
(b) Violate or infringe upon the rights of others, including privacy, publicity, or intellectual property rights.
(c) Use the Service to harass, abuse, threaten, or impersonate any person or entity.
(d) Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
(e) Attempt to gain unauthorized access to the Service, other User Accounts, or computer systems or networks connected to the Service.
(f) Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.
(g) Misrepresent your identity, professional qualifications, or affiliations.
(h) Upload Compliance Documentation that is inaccurate, outdated, or that you do not have the legal right to share for the purpose of compliance verification.
7. Data Privacy and Processing
7.1. Our collection, use, and disclosure of your personal data are governed by our Privacy Policy.
7.2. Specific Consent for Data Sharing: You explicitly acknowledge and consent that:
(a) Your personal data (including name, professional qualification number, and CPD attendance records) is essential for the operation of the Service.
(b) This data will be shared with the CPD Provider of any course you enroll in for the purposes of course administration, verification, and compliance reporting.
(c) CPD Providers act as independent data controllers and are responsible for submitting your CPD completion data to the relevant professional authorities to fulfill mandatory CPD scheme requirements. We are not liable for the data processing practices of CPD Providers once the data has been transferred to them.
7.3. In addition to the consents granted in Section 7.2, you explicitly acknowledge and consent that:
(a) To meet specific professional or employment obligations, you may elect to authorize the disclosure of your CPD records and uploaded Compliance Documentation (as defined in the Privacy Policy) to a designated third party, such as your employer or a professional administrator (the "Compliance Monitor").
(b) Such disclosure will only occur upon your explicit, separate, and informed consent provided through the mechanisms within the Service.
(c) The purpose of this disclosure is solely to allow the Compliance Monitor to verify your CPD compliance and professional practising status for internal administrative or regulatory purposes.
(d) You are solely responsible for ensuring that your authorization to a Compliance Monitor is correct and that you have any necessary approvals to share such data. We act as a data processor based on your instruction in this context and assume no liability for the Compliance Monitor's use of your data or any professional consequences arising from the disclosure.
(e) You may withdraw this consent for future disclosures at any time through the Service, subject to any overriding obligations you may have with the Compliance Monitor.
8. Fees and Payments
8.1. General. Access to certain features of the ConEdu Platform ("Premium Features") and enrollment in fee-based CPD activities ("Paid Activities") may require payment of fees. All fees are displayed in Hong Kong Dollars (HKD) unless otherwise stated.
8.2. Platform Fees (Premium Features). We may charge subscription or usage fees for access to Premium Features of the platform. The specific fees, billing cycles, and features included will be clearly disclosed before you commit to a purchase. We reserve the right to change the fees for Premium Features at any time, with notice provided to existing subscribers.
8.3. CPD Activity Fees (Paid Activities). Fees for Paid Activities are set by and payable to the respective CPD Provider. When you enroll in a Paid Activity, we act as a limited payment collection agent for the CPD Provider. Your payment obligation to the CPD Provider is satisfied upon your successful payment to us, and we will remit the funds to the CPD Provider, subject to any applicable processing delays.
8.4. Payment Processing. All payments are processed securely through our designated third-party payment gateways. You agree to provide current, complete, and accurate payment information. You authorize us to charge all fees incurred through your account to the designated payment method.
8.5. Taxes. You are responsible for paying any and all applicable taxes, duties, or government charges related to your use of Paid Activities or Premium Features, as required by law.
8.6. No Refunds. Unless otherwise required by Hong Kong law or explicitly stated in a separate refund policy for a specific Paid Activity (as determined by the CPD Provider), all fees are non-refundable. This includes, but is not limited to:
Fees for Premium Features, following the commencement of the subscription period.
Fees for Paid Activities, if you choose to cancel your enrollment, are unable to attend, or are dissatisfied with the activity.
Fees for Paid Activities where the CPD Provider cancels or reschedules the event, unless the Provider elects to issue refunds.
8.7. Disputed Charges / Chargebacks. You agree to contact us directly to resolve any billing disputes before disputing a charge with your bank or payment provider. Initiating an unauthorized chargeback may result in the immediate suspension or termination of your account.
8.8. Our Role. We are not a party to the contract for the provision of the CPD Activity itself. Our responsibility is limited to facilitating enrollment and payment collection. Any disputes regarding the content, delivery, accreditation, or quality of a Paid Activity must be resolved directly with the relevant CPD Provider.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
10.1. TO THE MAXIMUM EXTENT PERMITTED BY THE LAW OF HONG KONG, IN NO EVENT SHALL CONEDU LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
(a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
(b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING CPD PROVIDERS) ON THE SERVICE;
(c) THE REJECTION OF CPD CREDITS BY A PROFESSIONAL BODY;
(d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; AND
(e) ANY OTHER MATTER RELATING TO THE SERVICE.
10.2. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO US FOR THE USE OF THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE ACT GIVING RISE TO THE LIABILITY, OR (II) ONE HUNDRED HONG KONG DOLLARS (HKD $100).
11. Indemnification
You agree to defend, indemnify, and hold harmless ConEdu Limited, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Service, your User Content, or your infringement of any third-party right.
12. Termination
12.1. Termination by You: You may terminate these Terms at any time by permanently discontinuing your use of the Service and closing your User Account.
12.2. Termination by Us: We may, in our sole discretion and without liability, suspend or terminate your User Account and your access to the Service immediately, without prior notice, for any reason, including if we believe you have violated these Terms.
12.3. Effect of Termination: Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
13.1. Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
13.2. Mandatory Mediation: The parties agree to first attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms through friendly negotiation and mediation administered by the Hong Kong International Arbitration Centre (HKIAC) before resorting to arbitration or litigation.
13.3. Arbitration: If the dispute is not resolved through mediation within sixty (60) days, it shall be referred to and finally resolved by arbitration in Hong Kong in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of the arbitration shall be Hong Kong.
14. Miscellaneous
14.1. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between you and ConEdu Limited regarding the Service.
14.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3. Changes to Terms: We reserve the right to modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after any such change constitutes your acceptance of the new Terms.
